1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Salt AI, Inc. ("Salt AI," "Company," "we," "us," or "our"), governing your access to and use of the Wilbur Salt OS platform, including all associated services, features, content, and applications (collectively, the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

Salt AI reserves the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

2. Description of Service

Wilbur Salt OS is an enterprise decision-support platform that creates digital twins of organizational structures to enable multi-agent simulations for strategic planning and risk assessment. The Service is designed specifically for life sciences and pharmaceutical enterprises, providing capabilities including but not limited to:

  • Virtual Organization (V-Org) simulation and modeling
  • Clinical trials optimization and indication expansion analysis
  • Multi-agent workflow orchestration and AI-powered decision support
  • Real-world data (RWD) analysis and phenotype clustering
  • Regulatory pathway analysis and competitive intelligence

The Service is provided on a software-as-a-service (SaaS) basis, with optional on-premises deployment for enterprise customers requiring enhanced data sovereignty.

3. Eligibility and Account Registration

The Service is intended for use by authorized representatives of pharmaceutical companies, life sciences organizations, and healthcare enterprises. By using the Service, you represent and warrant that: (a) you are at least 18 years of age; (b) you have the legal authority to enter into these Terms on behalf of yourself or the organization you represent; (c) you will provide accurate, current, and complete information during registration; and (d) you will maintain the security of your account credentials and promptly notify us of any unauthorized access.

You are responsible for all activities that occur under your account. Salt AI reserves the right to suspend or terminate accounts that violate these Terms or engage in unauthorized or fraudulent activity.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

  • Use the Service in any manner that violates applicable laws, regulations, or industry standards, including but not limited to FDA regulations, HIPAA, GDPR, or GxP requirements
  • Attempt to gain unauthorized access to any portion of the Service, other accounts, or computer systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Upload, transmit, or distribute any malicious code, viruses, or harmful content
  • Use the Service to generate, store, or transmit content that infringes intellectual property rights
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use automated systems or software to extract data from the Service without authorization
  • Share account credentials or allow unauthorized third parties to access the Service

5. Intellectual Property Rights

The Service, including all software, algorithms, models, user interfaces, designs, trademarks, and documentation, is owned by Salt AI and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely for your internal business purposes in accordance with these Terms.

You retain ownership of all data, content, and materials you upload to the Service ("User Content"). By uploading User Content, you grant Salt AI a limited license to process, analyze, and store such content solely to provide the Service. We will not use your proprietary data to train general-purpose AI models or share it with third parties except as required to deliver the Service or as required by law.

6. Data Processing and Confidentiality

Salt AI understands the sensitive nature of pharmaceutical and life sciences data. We maintain strict confidentiality protocols and process all User Content in accordance with our Privacy Policy and applicable data protection regulations. For enterprise customers, we offer Data Processing Agreements (DPAs) and Business Associate Agreements (BAAs) as required for HIPAA compliance.

Our platform is designed to meet the stringent compliance requirements of the life sciences industry, including SOC 2 Type II certification, HIPAA compliance, and GxP-ready infrastructure. Detailed information about our security practices is available in our Security documentation.

7. Service Availability and Support

Salt AI strives to maintain high availability of the Service but does not guarantee uninterrupted access. We may perform scheduled maintenance, updates, or modifications to improve the Service. We will provide reasonable advance notice of planned downtime when possible.

Technical support is provided in accordance with your subscription tier. Enterprise customers may be entitled to dedicated support, service level agreements (SLAs), and priority response times as specified in their enterprise agreement.

8. Fees and Payment

Access to certain features of the Service requires payment of fees as described on our pricing page or in your enterprise agreement. All fees are quoted in U.S. dollars unless otherwise specified. You agree to pay all applicable fees and authorize Salt AI to charge your designated payment method.

Fees are non-refundable except as required by law or as expressly stated in your agreement. Salt AI reserves the right to modify pricing with 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. SALT AI DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The Service provides decision-support tools and simulations for informational purposes only. Outputs generated by the Service, including risk assessments, recommendations, and predictions, should not be construed as medical, legal, regulatory, or professional advice. Users are responsible for independently verifying all information and making their own business decisions.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALT AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

SALT AI'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO SALT AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Salt AI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your User Content.

12. Termination

Either party may terminate these Terms at any time for any reason upon written notice to the other party. Salt AI may immediately suspend or terminate your access to the Service if you breach these Terms or engage in conduct that we determine, in our sole discretion, may harm Salt AI, other users, or third parties.

Upon termination, your right to access and use the Service will immediately cease. You may request export of your User Content within 30 days of termination. Salt AI will delete your User Content in accordance with our data retention policies, unless retention is required by law.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, and the arbitrator's decision shall be final and binding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

14. General Provisions

These Terms, together with the Privacy Policy and any applicable enterprise agreements, constitute the entire agreement between you and Salt AI regarding the Service. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Salt AI's failure to enforce any right or provision shall not constitute a waiver of such right or provision.

You may not assign or transfer these Terms without Salt AI's prior written consent. Salt AI may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
